Introduction
Welcome to Zodiak Agency. By accessing or using our website and services, you agree to comply with and be bound by the following terms and conditions. Please read these terms carefully before engaging with our services.
1. Services
Zodiak Agency provides a range of digital marketing services, including but not limited to:
Paid ad campaign management (e.g., Google Ads, Facebook Ads).
Social media marketing and optimization.
Branding and creative strategy development.
SEO and website optimization.
Technical and creative support for marketing campaigns.
Our services are tailored to meet the unique needs of each client. Details of the specific services to be provided will be outlined in your individual agreement or contract.
2. Payment Terms
Setup Fee: A one-time setup fee is charged for onboarding, campaign creation, and initial services. This fee is non-refundable.
Ongoing Fee: We charge a percentage of your ad spend as our management fee.
Payment Schedule: All payments must be made on or before the due date specified in your invoice. Late payments may incur penalties or result in a suspension of services.
Refund Policy: Payments for services already rendered are non-refundable. Refunds for unused portions of pre-paid services will be evaluated on a case-by-case basis.
3. Client Responsibilities
Clients must provide access to necessary accounts and platforms (e.g., ad accounts, website backend) in a timely manner.
Clients are responsible for providing any branding materials (logos, images, etc.) and approvals required for campaign execution.
A minimum monthly ad spend may be required, as specified in your agreement.
4. Confidentiality and Intellectual Property
All strategies, campaigns, and materials created by Zodiak Agency remain our intellectual property until full payment is received.
Zodiak Agency agrees to keep all client information confidential and will not disclose it to third parties without prior consent, except as required by law.
Upon project completion and full payment, ownership of deliverables will transfer to the client, unless otherwise agreed.
5. Performance Disclaimer
While Zodiak Agency strives to deliver the best results, we cannot guarantee specific outcomes (e.g., revenue growth, conversion rates) due to factors outside our control, including platform algorithms and market conditions
6. Termination
Either party may terminate the agreement with 30 days' written notice.
Zodiak Agency reserves the right to terminate services immediately in cases of non-payment or breach of agreement.
Upon termination, all outstanding dues must be cleared before transferring any remaining campaign assets to the client.
7. Limitation of Liability
Zodiak Agency will not be liable for:
Loss of revenue, profits, or data resulting from campaign performance or third-party platform issues (e.g., ad account bans).
Any indirect, incidental, or consequential damages related to the use of our services.
8. Governing Law and Dispute Resolution
These terms are governed by the laws of India.
In case of disputes, both parties agree to first attempt resolution through mutual discussion. If unresolved, disputes will be subject to arbitration in accordance with Indian laws.
9. Website Use
Visitors to our website may be required to submit personal information via contact forms. By submitting your details, you agree to be contacted by Zodiak Agency for business purposes.
Zodiak Agency is not responsible for any damages resulting from website downtime or external threats.
10. Changes to Terms
Zodiak Agency reserves the right to update or modify these terms at any time. Clients will be notified of significant changes. Continued use of our services implies acceptance of the updated terms.
